6. SEO Services and Search Performance
SEO performance can be affected by search-engine algorithms, competition, website history, technical limitations, content quality, search demand, industry changes, links, user behavior, platform changes, and other factors outside Digital Sparkline's direct control.
Digital Sparkline does not guarantee a particular Google ranking, featured snippet, AI Overview placement, organic traffic volume, lead volume, conversion rate, revenue amount, or other search-engine outcome unless a written agreement expressly provides otherwise.
7. Project Scope, Deliverables and Timelines
Each project should have a defined scope covering services, deliverables, responsibilities, timelines, fees, and approval requirements. Documentation may include a proposal, quotation, statement of work, invoice, service agreement, email confirmation, or other written approval.
Changes to Project Scope
Work requested outside the agreed scope may require additional time, resources, fees, or a revised delivery schedule. We may provide a separate quote or change request before beginning additional work.
Project Timelines
Estimated timelines depend on scope, client feedback, approvals, access, content availability, technical requirements, third-party systems, and other dependencies. Delays caused by missing information, late approvals, unavailable access, non-payment, third-party restrictions, technical failures, or circumstances outside our reasonable control may affect the expected completion date.
8. Client Responsibilities
Successful projects require timely cooperation between Digital Sparkline and the client.
Client Responsibilities
- Provide accurate and complete business information.
- Provide required website, advertising, analytics, CMS, hosting, or social media access.
- Supply brand assets, images, product information, and other requested materials.
- Review and approve work within a reasonable timeframe.

- The client is responsible for the accuracy of claims about its products or services.
- The client should not provide personal data or confidential information that cannot lawfully be processed.
9. Account Access, Credentials and Security
Some services require access to third-party accounts, including Google Ads, Analytics, Search Console, Tag Manager, Meta Business Manager, websites, CMS platforms, hosting, Merchant Center, and social media accounts. Clients are responsible for providing appropriate permissions and ensuring we receive only the level of access necessary for the agreed services.
Clients should not send passwords through insecure channels where a secure alternative exists. Where possible, access should be granted through platform permissions or user invitations.
10. Payments, Fees and Advertising Budgets
Service fees, deposits, recurring charges, milestones, payment dates, taxes where applicable, and other commercial terms are determined by the applicable proposal, quotation, invoice, or service agreement.
Digital Sparkline Service Fees
Clients are responsible for paying agreed fees according to the payment schedule. Work may be delayed or suspended where an agreed payment is overdue.
Google Ads and Meta Ads Spend
Advertising spend paid to Google, Meta, or another platform is generally separate from our management or service fees unless the proposal expressly states otherwise. Platform billing, credits, taxes, account charges, and budgets are subject to the relevant platform's own terms.
Late Payments
Where a payment is overdue, we may pause work, campaigns, development, content production, access, reporting, or other services until the account is brought up to date, subject to the applicable agreement and law.
11. Revisions, Approvals and Change Requests
Revision rounds and approval stages depend on the project and should be defined in the applicable proposal or agreement. A revision means a reasonable adjustment to an agreed deliverable. A request for a substantially different concept, additional pages, new functionality, a different campaign structure, or new content requirements may be treated as additional scope.
Clients are responsible for reviewing deliverables and communicating consolidated feedback where reasonably possible. Delayed or fragmented feedback may affect timelines.
12. Performance, Rankings, Leads and Results
Digital marketing performance is influenced by market demand, competition, advertising auctions, search-engine algorithms, website quality, pricing, customer behavior, product availability, client responsiveness, tracking accuracy, seasonality, budgets, and third-party platform policies.
We use reasonable professional methods and available data to plan, implement, monitor, and improve services within the agreed scope. Unless expressly stated in a written agreement, we do not guarantee specific rankings, traffic, impressions, clicks, leads, sales, conversion rates, return on ad spend, revenue, or other commercial outcomes.
13. Google Ads and Paid Search Terms
Google Ads campaigns may include Search, Performance Max, Shopping, Display, YouTube, remarketing, conversion tracking, Merchant Center, and landing page optimization where included in the agreed scope. Google independently controls its advertising systems, policies, approvals, auctions, automated bidding, account eligibility, and ad review.
We cannot guarantee that an ad will be approved, displayed continuously, receive a specific position, achieve a particular cost per click or number of conversions, or remain unaffected by changes to Google's systems. Google Ads spend is separate from our management fee unless the agreement states otherwise.

14. Meta Ads and Paid Social Terms
Meta advertising services may involve Facebook, Instagram, Meta Business Manager, ad accounts, audiences, pixels, Conversions API, creative testing, retargeting, optimization, and reporting where included in the agreed scope. Meta independently controls its advertising policies, account reviews, approvals, delivery systems, auctions, and account restrictions.

19. Third-Party Platforms and Services
Projects may depend on third-party platforms and services, including Google, Meta, hosting providers, CMS platforms, analytics systems, advertising networks, payment providers, domain registrars, software providers, and APIs. These may change their features, pricing, policies, technical requirements, algorithms, availability, account restrictions, or terms without notice to us.
Digital Sparkline is not responsible for losses or interruptions caused solely by a third-party platform's outage, policy decision, technical change, account restriction, suspension, algorithm update, or other event outside our reasonable control.
20. Intellectual Property and Ownership
Ownership and licensing of deliverables are determined by the applicable proposal, quotation, invoice, statement of work, service agreement, or other written arrangement.

Third-Party Assets
Third-party software, fonts, plugins, themes, stock assets, APIs, and templates remain subject to their respective licenses and terms.
21. Confidentiality
Both parties may receive non-public information during a project. Where information is clearly identified as confidential or would reasonably be understood to be, each party should take reasonable steps to protect it from unauthorized disclosure. This does not normally apply to information that is public, independently developed, lawfully received from another source, already known, or required to be disclosed by law.
Where a project requires specific confidentiality, non-disclosure, data-processing, or security obligations, those should be documented in a separate agreement where appropriate.
22. Cancellation and Termination
Cancellation and termination depend on the applicable service agreement, proposal, recurring service terms, or notice requirements. A project or service may end because of:
- completion of the agreed project;
- expiry or cancellation of a recurring service;
- mutual written agreement;
- material breach of an applicable agreement;
- prolonged non-payment;
- failure to provide essential information or access; or
- another termination event stated in the agreement.
Following termination, outstanding fees, completed work, third-party expenses, account access, files, licenses, and campaigns should be handled according to the applicable agreement.
23. Refunds and Unused Services
Refund eligibility depends on the service purchased, work completed, project stage, third-party costs, cancellation terms, and the applicable written agreement. Amounts relating to completed services or deliverables, third-party purchases, advertising spend, software licenses, hosting, or domain registrations may not be refundable where permitted by the agreement and law.
If Digital Sparkline has a specific refund or cancellation policy for a particular service, it should be included in the relevant proposal, invoice, service agreement, or separate refund policy.
24. Privacy, Data and Security
Information submitted through our website, forms, enquiries, or other communications may be processed according to our applicable privacy practices. Please review the Digital Sparkline Privacy Policy for how personal information is handled.
Clients are responsible for ensuring that information, customer data, marketing lists, tracking configurations, and analytics data supplied to us may lawfully be processed for the requested service. Additional data-processing, confidentiality, or security requirements may be documented in the project agreement.
25. Limitation of Liability
Digital Sparkline will provide services with reasonable professional care within the agreed scope. However, digital marketing and technology services depend on search engines, advertising networks, software, infrastructure, client inputs, market conditions, and competition outside our direct control.
To the extent permitted by applicable law, we will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from matters outside the agreed scope or our reasonable control. Nothing in these Terms excludes or limits liability where such exclusion is prohibited by law. Any specific liability limitation for a particular engagement should be stated in the relevant written agreement.
26. Client Indemnification
To the extent permitted by applicable law and the relevant agreement, the client may be responsible for claims, losses, costs, or expenses arising from materials, instructions, products, services, information, or claims supplied by the client where the issue results from unlawful conduct, lack of authorization, infringement, or breach of the agreement. Specific indemnification obligations should be defined in the applicable service agreement where appropriate.
27. Changes to These Terms & Conditions
We may update these Terms when business practices, services, technology, legal requirements, or website functionality change. The latest version will be published on this page with an updated date. Changes to these website Terms do not automatically modify the commercial terms of an existing signed service agreement unless the agreement permits it or the parties separately agree.
28. Governing Law and Dispute Resolution
These Terms should be interpreted together with the applicable service agreement and the laws applicable to the relevant business relationship. Where a separate written agreement identifies governing law, jurisdiction, venue, arbitration, mediation, or another dispute-resolution process, that agreement will govern the engagement.
